Head of Corporate Governance
The Company’s Board of Directors reached a resolution on December 20, 2019, which had the head of financial and accounting act as the head of corporate governance and be responsible for related matters of corporate governance.
The main responsibilities include:
- Handle matters related to the meetings of the Board of Directors and Shareholders in accordance with laws and regulations.
- Prepare the minutes of the meetings of the Board of Directors and Shareholders.
- Assist the directors in their appointment and continuing education.
- Provide any and all information necessary for directors to perform their duties.
- Assist the directors in complying with laws and regulations.
- Handle any other matters stipulated in the Company’s Articles of Association, contracts and/or agreements.
The main priorities of the responsibilities for FY2024 include:
- Handle matters related to the meetings of the Board of Directors and Shareholders in accordance with laws and regulations.
- Prepare the minutes of the meetings of the Board of Directors and Shareholders.
- Provide any and all information necessary for directors to perform their duties.
- Assist directors in their appointment and continuing education, and submitting information to the Market Observation Post System.
- Apply for and purchase “Directors’ Liability Insurance” and report relevant information to the Board of Directors.
- Review whether the Company meets the scoring requirements of corporate governance evaluation indicators
- Handle any other matters stipulated in the Company’s Articles of Association, contracts and/or agreements.
Prevent Insider Trading
The Company has formulated the “Procedures for Handling Material Inside Information”, which is disclosed on the Company’s official site for all employees’ reference. At least once a year, the Company conducts education and promotion of the “Procedures for Handling Material Inside Information” and related laws and regulations for its directors, managers, and employees. In November 2024, the Company conducted relevant education and promotion for current 16 directors and managers. The content of the promotion included the confidentiality of material information, the regulated subjects of insider trading, the causes of insider trading, the identification of insider trading, and the introduction of relevant laws and regulations.
